The Company
An Established Oil & Gas Exploration Company seeking a Legal Counsel with prior experience advising upstream oil & gas operations. Headquartered in Central London, with an international presence, over the past 10 years the company has successfully expanded its asset base in the Southern hemisphere.
The Role and Responsibilities
The business is seeking an experienced Senior Legal Counsel to assist with the day to day corporate commercial operations of the legal department. The position has arisen to cover a maternity leave.
Working closely with the business’s Group departments, the role offers the successful Senior Legal Counsel the responsibility of managing the business’s corporate commercial legal matters:
- Assisting with various business development matters including acquisition and sale of assets
- Reviewing and advising on;
- Farm-in and farm-out agreements
- Production sharing agreements
- Joint operating agreements
- Gas and crude oil offtake agreements
- Reviewing and negotiating decommissioning security agreements
- Reviewing documentation and assisting on third party transfers affecting assets
- Providing legal advice to the business in relation to the Department of Energy and Climate Change for terms of access
- Dealing with various commercial agreements including;
- proximity and pipeline crossing agreements
- confidentiality agreements
- transportation agreements
- parent company guarantees
- secondment agreements
- drilling agreements, rig share agreements and study agreements
- Managing correspondence with regulators on various licensing issues
- Advising headquarters on various matters including UK legislation, employment issues, and general commercial
- Instructing and managing external counsel
This is an upstream, mainly deal specific, transactional role. A fantastic opportunity for a highly motivated in-house legal counsel who has a strong understanding of corporate governance and regulatory requirements and experience in upstream oil and gas contracting.
You
The role is ideally suited for an in-house counsel with prior Oil & Gas sector experience. Strong interpersonal and communication skills are essential as well as a proven ability to manage multiple projects and meet tight deadlines. You will have excellent organisational skills, IT skills, ability to prioritise competing tasks and work under pressure.
A confident communicator with the ability to quickly build strong relationships with senior stakeholders across the business, you will be excited to look after the asset interests of this fast-paced organisation.
