The Role and Responsibilities
Senior in-house paralegal, ideally the successful paralegal will have prior corporate law experience, dealing with matters concerning M&A deals, transactional processes/post acquisition. Reporting into the Head Corporate Counsel, the successful paralegal will provide legal support across the business’ global group departments, dealing with a variety of corporate and company secretarial matters, including;
- Assisting the firm’s group legal function in relation to transactional support
- Liaising and working with external counsel
- Liaising with internal global departments, such as Marketing, Finance and Sales
- Maintenance of contract archive records
- General contract management
- Researching and developing reviews of legal and compliance requirements for internal business matters
- Providing support to corporate lawyers during acquisition processes including dealing with due diligence, completion processes and post-completion
- Assisting with on-boarding acquired entities, managing corporate registrations and filings
- Assisting with the rationalisation of entities including business transfers, mergers and liquidations
- Supporting the company secretarial and corporate administration of the global subsidiaries, including;
- reviewing corporate actions, administering corporate governance policies etc.
- assisting with maintaining the employee share scheme
- reviewing shareholder documentation and managing communications with the shareholders
This is an excellent opportunity to gain high value, international corporate contracts experience within a fast-paced and constantly varied working environment. Liaising with up to C-level executives, this is a fantastic paralegal role for an experienced legal professional keen to gain high level corporate commercial exposure in-house. The role is hands-on from the start and there is scope for the responsibilities to develop as the legal team expands.
You
- You must have completed the LPC
- Ideally in-house paralegal experience dealing with corporate, M&A and post-transactional matters
- Experience dealing with company secretarial administration is useful
- Prior experience within the sustainability/energy/ sectors is desirable, but not essential
- Strong stakeholder management skills
- Excellent attention to detail and good commercial acumen
- It is essential that the successful candidate can exhibit an in-depth knowledge of legal terms and concepts
- Able to take a commercial approach when providing advice and feedback to the business
The ideal candidate will be adept at working within a fast-paced environment. Excellent interpersonal skill and the ability to build rapport with range of business stakeholders will be highly beneficial
A passionate and enthusiastic experienced in-house paralegal who can offer value to the business by excelling in the area of stakeholder management. Prior experience in Sustainability, Technology, Consulting, Manufacturing or Energy would be beneficial, however all candidates with relevant corporate and company secretarial experience are encouraged to apply.
