Global Corporate Counsel – 12 Month Fixed Term Contract

Responsibilities

This is a 12 month Fixed Term Contract for an experienced Corporate Transactional lawyer, reporting into the Managing Counsel. The successful corporate counsel will advise the organisation’s group functions, including the Finance, Treasury, Tax and Acquisitions teams on a range of global M&A matters. The corporate legal team plays a crucial role in advising the business’s investment and ownership structure, corporate structure and around 140 entities worldwide.

  • Advising on cross-border transactions, M&A transactions
  • Integration of new business acquisitions
  • Advising on take-overs, placing and re-admission, new country entry and country exit
  • Restructuring or rationalisation of existing entities
  • Capital restructurings
  • Corporate compliance and filings and maintaining company records
  • Advising on corporate matters such as;
    • Breach of fiduciary duties
    • Incorporation of LLPs
    • Partnership agreements and shareholder agreements
    • General compliance with companies’ legislation
  • Advising on the legal framework of new Digital Services and Analytics

The role is wide-ranging, due to the company’s impressive growth strategy. The successful Corporate Counsel will work closely with the Group Acquisition Team , which currently has a key focus on digital and technology matters. Not only handling acquisition matters, the corporate counsel will also advise on restructuring projects, and advise on the entity’s complex ownership structure, intercompany framework and financing arrangements.

A passionate and enthusiastic Corporate Transactional M&A lawyer who can offer value to the business by excelling in the area of stakeholder management. Prior experience in Sustainability, Technology and consulting would be beneficial, however all candidates with relevant Global Corporate M&A experience are encouraged to apply. Ideally, the successful candidate will have trained within a top tier Legal 500 or City firm and had prior EMEA in-house experience at group level.
