Our client, a Global Energy & Sustainability Company, is seeking a Company Secretary to join their expanding Central London company secretarial and legal/compliance department. The successful Company Secretary will report directly into the General Counsel.

The Company

A highly accredited and innovative Global Energy and Sustainability business, with offices in Central London.

Responsibilities

Key Skills and Responsibilities include assisting with:

  • Managing the global company compliance requirements
  • Conducting Know Your Counterparty (KYC) requests from third parties such as suppliers, customers and banks
  • Coordinating corporate secretarial compliance for all the group’s global entities
  • Arranging new entities in various jurisdictions
  • Working with third parties to authorised signatories to ensure documents and forms are correctly managed
  • Arranging powers of attorney for the company’s entities
  • Assisting with instructing external law firms in different jurisdictions
  • Maintaining up-to-date records for corporate compliance
  • Drafting corporate documentation and forms such as board minutes
  • Arranging Board Meetings and AGMs where necessary
  • Supporting the legal team with other general administrative duties
  • Dealing with corporate governance matters relating to the relevant entities;
  • Assisting with the preparation of legal documentation and Companies House forms relating to routine company changes
  • Assisting with compliance requirements of the UK Companies Act, UK Listing Rules and the UK Corporate Governance Code.

This is an excellent opportunity to gain high value, international commercial contracts experience within a constantly varied working environment. Liaising with up to C-level executives, this is a fantastic Company Secretary role for an experienced professional keen to gain further corporate commercial/company secretarial exposure within a global business. The role is hands-on from the start and there is scope for the responsibilities to develop as the legal and corporate teams expand.

Candidate Requirements

The company is seeking a Company Secretary eager to develop their career in a forward-thinking and entrepreneurial environment.

  • Comprehensive understanding and experience of corporate governance models, Compliance
  • Knowledge of company secretarial, governance and regulatory environment
  • Excellent written communication skills and ability to absorb complex information and simplify
  • Ideally qualified with the Chartered Governance Institute (ICSA) or part-qualified;
  • Basic knowledge of Companies Act and UK Listing Rules, and knowledge of Diligent Entities;
  • Preferably at least a years’ experience dealing with relevant KYC and general commercial matters
  • Prior experience within the sustainability/energy/consultancy sectors is desirable, but not essential
  • Strong stakeholder management skills
  • Excellent attention to detail and good commercial acumen
  • It is essential that the successful candidate can exhibit an in-depth knowledge of legal terms and concepts
  • Able to take a commercial approach when providing advice and feedback to the business

The ideal candidate will be adept at working within a fast-paced environment. Excellent interpersonal skill and the ability to build rapport with range of business stakeholders will be highly beneficial
